Acceptance of Terms

These Terms of Service (the "Terms") constitute a legally binding agreement between you and the owner of the website located at biospine.org (the "Site"), BioSpine ("BioSpine," "we," "us," or "our"). By accessing or using the Site or any content, tools, features, or services made available through the Site (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and by any additional policies referenced herein. Users may compare medications, explore generic versus brand alternatives, and review price ranges before purchasing from third parties. BioSpine provides information resources, including side-by-side comparisons of reputable options for cheap generics.

Eligibility

You represent and warrant that you have all necessary rights to grant this license and that your Feedback does not infringe any rights of third parties.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BIOSPINE, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES OR CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Indemnification

You agree to defend, indemnify, and hold harmless BioSpine and its owners, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms or any applicable law; (c) your infringement or misappropriation of any third-party right; or (d) any content or information you submit or transmit through the Services.

Governing Law and Venue

These Terms and any dispute, claim, or controversy arising out of or relating to them or the Services shall be governed by and construed in accordance with the laws of the State of California, U.S.A., without regard to its conflict of laws principles and except as preempted by the Federal Arbitration Act.

Arbitration Agreement and Class Action Waiver

YOU AND BIOSPINE AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY BETWEEN YOU AND BIOSPINE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES (COLLECTIVELY, "DISPUTES") SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, RATHER THAN IN COURT, EXCEPT THAT YOU OR BIOSPINE MAY SEEK RELIEF IN SMALL CLAIMS COURT FOR QUALIFYING CLAIMS. YOU AND BIOSPINE ALSO AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, REPRESENTATIVE, OR CONSOLIDATED ACTION OR ARBITRATION.

The arbitration shall be administered by a recognized arbitration provider (such as the American Arbitration Association or JAMS) under its applicable rules. The Federal Arbitration Act (FAA) governs the interpretation and enforcement of this arbitration agreement. Unless the parties agree otherwise, arbitration shall be conducted in Nevada County, California, or by video/telephone to the extent permitted by the applicable rules. The arbitrator shall have exclusive authority to resolve all issues of arbitrability and all Disputes, including relating to the scope, enforceability, and interpretation of this arbitration agreement.

Opt-Out: You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending an email titled "Arbitration Opt-Out" to [email protected] with your full name, address, and a clear statement that you wish to opt out. If you opt out, neither you nor we will be required to arbitrate Disputes.

This arbitration agreement shall survive termination of the Services and these Terms.

Modifications to the Services and Terms

We may update, modify, or discontinue the Services, and we may revise these Terms at any time. Changes will be effective when posted to the Site unless a later date is stated. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

Termination

We may suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, including for violation of these Terms, without notice and without liability. Upon termination, the rights and licenses granted to you under these Terms will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution.

Electronic Communications

By using the Services, you consent to receive communications from us electronically, including emails and notices posted on the Site. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

Export Compliance

You may not use, export, or re-export the Services or any Content in violation of U.S. export laws and regulations or any other applicable laws. You represent and warrant that you are not located in a country subject to a U.S. government embargo or that has been designated by the U.S. government as a "terrorist supporting" country and that you are not listed on any U.S. government list of prohibited or restricted parties.

Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, labor disputes, shortages, supply chain issues, war, terrorism, civil disturbances, government actions, failures of telecommunications or networks, or other force majeure events.

Severability; Waiver; Assignment; Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect. No waiver of any provision shall be deemed a further or continuing waiver of such provision or any other provision. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction. These Terms constitute the entire agreement between you and us regarding the Services and supersede all prior agreements and understandings regarding the same. Headings are for convenience only and have no legal or contractual effect.
